The basic source of obligations in legal relations is contracts. The real and legal entities get into debt and obtain rights through contracts. In order to ensure the protection of rights and the possible benefits from the legal relationship, the contract should include provisions which shall protect the relevant party. 

 

A poorly regulated contract does not provide the expected benefit from the contract, but also creates the risk of encountering unfair claims. It is an obligation for each contract to include by a professional the terms appropriate for its type in the relevant texts, to prepare additional documents deemed necessary and to attach to the contracts, and to arrange the necessary guarantees.

 

Under contracts law, not only contracts are in writing; but also the issues to be considered legally in the pre-contract negotiations, the powers of the signatories, important points to be considered in the correspondence, the conclusions that may be binding in accordance with the relevant legal order are also examined.

Another point to be noted is that it is necessary to make a choice of law in contracts that include a foreign element, and if a law cannot be selected, the above mentioned considerations should be made in accordance with the law determined by objective rules. In this context, it is very important to master foreign law regulations such as European Union Law, Swiss Law and English Law and to reflect the results stipulated by these laws into the contract.
